Annual Attestation

Scope

Seneca is committed to the values of equity, diversity and inclusivity in all aspects of its operations and activities. This commitment and policy apply to all members of the Board of Governors.

Policy

1. Seneca is a Crown agency accountable through the Ministry of Colleges and Universities.

  1. The Board of Governors is responsible for setting the vision, strategy and overall outcomes of Seneca.
  2. Responsibility for operations and management of Seneca is delegated to the President.
  3. The board has an obligation to discharge its responsibilities and duties in a manner that inspires trust and confidence, adhering to the highest standards of conduct.
  4. Individual governors are to conduct themselves in a professional, respectful and collegial manner while carrying out their responsibilities as board members in accordance to By-Law No. 1 and in compliance with the Minister’s Binding Policy Directives for Governance and Accountability: Conflict of Interest and Governance and Accountability Framework.
  5. While it is expected that governors will bring to the board a variety of perspectives, a governor’s responsibility is to Seneca and its well-being, and not to any other organization, private interest, community or sector.
  6. Conflicts of interest between the goals and functions of Seneca and those of other groups must be resolved in favour of Seneca.

2. Annual attestation

  1. Under By-Law No. 1, each governor will attest annually that in exercising responsibilities as a governor they will adhere to By-Law No. 1 and the Minister’s Binding Policy Directives for Governance and Accountability and accept the consequences of any actions which violate the same.
